Position Overview: 
The Legal Director serves as the organization’s legal advisor, responsible for providing strategic counsel across all legal issues, ensuring compliance on all legal requirements, mitigating risk, and guiding the company through a wide range of legal matters. This role will report to the Chief Financial Officer and partner closely with the Senior Leadership Team and external legal resources to support the company’s growth, protect its interests, and uphold ethical and regulatory standards.  

This role will also play a critical part in shaping the company’s legal infrastructure, influencing enterprise strategy, and building scalable processes that support a high‑growth environment. This role will be directly responsible for some corporate matters, including but not limited to the Corporate Practice of Medicine, Compliance, Regulatory, and Corporate Law across the U.S., Canada and Australia; while partnering with and overseeing external counsel in other matters.  

Key Responsibilities: 

Legal Strategy and Advisory: 

  • Provides proactive, high-quality legal advice to the executive team and board of directors on a broad range of issues, including corporate, commercial, regulatory, and operational matters 

  • Develops and executes legal strategies that enable and protect the company’s business objectives 

  • Interprets and advises on the legal implications of business decisions, new initiatives, and strategic transactions 

  • Serves as a trusted and strategic partner by offering business-focused solutions that support innovation and long-term organizational goals 

Compliance and Risk Management: 

  • Ensures ongoing compliance with federal, state, and local laws, as well as industry-specific regulations.  

  • Identifies, assesses, and manages legal and regulatory risks across the organization.  

  • Builds, implements, and continually enhances compliance programs, policies, and training to support a culture of integrity and accountability. 

  • Supports internal investigations related to ethics, compliance concerns or HR matters 

Contract Management: 

  • Drafts, reviews, and negotiates a wide range of agreements, including vendor contracts, partnership agreements, NDAs, Data Processing Agreements, and service agreements.  

  • Establishes contract standards, templates, and processes to drive consistency and minimize risk.  

  • Leads the resolution of contract-related matters with internal partners and external counsel.  

Litigation and Claims Oversight: 

  • Manages all litigation, claims, and casework, ensuring efficient and cost-effective resolution 

  • Oversees and collaborates with external counsel on active cases and specialized legal matters 

Corporate Governance and Other Duties: 

  • Advises on corporate governance, board matters, and legal requirements related to corporate structure and administration 

  • Supports and manages intellectual property matters, including trademarks, copyrights, and confidentiality protections  

  • Lead company-wide privacy and data protection strategy, including compliance with California Consumer Privacy Act (CCPA)/CPRA and other applicable state privacy regimes 

  • Partner with clinical and operational leadership to ensure compliant care  

  • Advise on consumer protection and marketing compliance and further support product, technology, and marketing teams in compliant data use and innovation initiatives 

  • Represents the organization professionally in legal proceedings, negotiations, and regulatory interactions. 

  • Monitors emerging laws, regulations, and industry trends to anticipate and prepare for future impacts 

Leadership & Management Responsibilities: 

  • Leads and develops a high‑performing legal function; including management of all internal legal matters and oversight of external counsel, when needed 

  • Establishes operating rhythms, best practices, and performance metrics for the legal team 

  • Drives cross‑functional collaboration with People & Culture, Marketing, Finance, Operations, Risk, IT, and other departments to ensure legal alignment with business strategies. 

Required Qualifications: 

  • Juris Doctor (J.D.) degree from an accredited law school including active bar membership. Texas bar membership preferred. 

  • Minimum of 8 years of professional legal experience, including significant in-house leadership experience 

  • Ability to work from our Austin-based headquarters at least four days per week, excluding approved time off and business travel 

Additional Requirements: 

  • Strong background in healthcare regulatory law, ideally within MSO/PC or multi-state clinical environments and familiar with the Corporate Practice of Medicine Doctrine 

  • Experience supporting high-growth multi-location businesses (PE-backed experience a plus)  

  • Demonstrated experience supporting executive leadership and influencing enterprise‑level decisions. Exceptional executive presence with effective communication and stakeholder management skills  

  • Strategic mindset with advanced problem-solving and decision-making capabilities  

  • Proven ability to lead multiple complex initiatives simultaneously, managing competing priorities and stakeholders  

  • Ability to operate effectively in a fast-paced, dynamic environment with agility and sound judgment  

  • Strong organizational discipline with exceptional attention to detail and execution  

  • High level of professionalism, integrity, and discretion  

  • Ability to influence and collaborate effectively across all levels of the organization, including senior leadership  

  • Self-directed leader with the ability to navigate ambiguity, drive results, and adapt quickly to changing priorities
